1. Agreement and eligibility
These Terms of Service (“Terms”) are a binding agreement between you and Autopilot, operating UGC Agent (“UGC Agent,” “we,” “us,” or “our”). They apply to ugcagent.app, the UGC Agent application, APIs, MCP connections, automations, and related services (collectively, the “Service”). By accessing or using the Service, creating an account, or purchasing a subscription, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and legally able to enter into this agreement. The Service is intended for business and professional use. If you use it for an organization, you represent that you have authority to bind that organization, and “you” includes the organization.
2. Accounts and security
You must provide accurate account information and maintain access to the email or identity provider used to sign in. You are responsible for activity under your account and for ensuring that team members comply with these Terms. Notify us promptly if you suspect unauthorized access.
Do not share authentication links, sessions, private MCP URLs, administrative credentials, or other account secrets. Team access must use the Service’s team features. We may require verification before changing ownership, billing, or account access.
3. What UGC Agent provides
UGC Agent provides tools for searching public Instagram, TikTok, portfolio, and web sources; enriching and qualifying creator profiles; organizing saved leads; reviewing creator applications; analyzing public content; researching trends; generating campaign materials; scheduling creator-sourcing automations; and exporting supported results.
UGC Agent is not a talent agency, employer, creator representative, escrow provider, payment intermediary, legal adviser, or managed campaign service unless a separate written agreement expressly says otherwise. We do not hire creators for you, guarantee their availability, negotiate their rates, acquire content rights, approve campaign claims, or guarantee responses, deliverables, performance, or business results.
Features, providers, supported platforms, and usage limits may change as third-party services and the product evolve. We may add, modify, limit, or discontinue features where reasonably necessary, including to protect the Service, comply with law, or respond to platform or provider changes.
4. Subscriptions, trials, and billing
Plans and charges
Current plans, prices, usage limits, and billing periods are shown on the pricing page and at Stripe Checkout. Paid subscriptions are charged in advance in U.S. dollars unless checkout states otherwise. Taxes may be added where required. Annual subscriptions are billed for the full year in advance.
Three-day trial
Where offered, the three-day Pro or Premium trial requires a payment card and includes a one-time card-verification charge, currently US$0.50, collected at checkout. The recurring plan fee is not charged until the trial ends. Checkout displays the verification charge, trial end date, and renewal price before you confirm.
Unless you cancel before the trial ends, the subscription automatically converts to the selected paid plan and Stripe charges the payment method on file. You may also be offered an option to skip the trial and pay for the first billing period immediately under the terms shown at checkout.
Renewal and cancellation
Paid subscriptions renew automatically for the selected monthly or annual billing period until canceled. Existing subscribers can use Stripe’s hosted Billing Portal to change plans, update payment methods, view invoices, cancel, or resume. Cancellation normally takes effect at the end of the current paid billing period, and access continues until then unless the account is suspended for cause.
Refunds and payment failures
Fees, verification charges, and partial billing periods are non-refundable except where required by law or expressly stated at checkout. We do not provide prorated refunds for unused time or unused lead allowance. Failed or past-due payments may result in reduced access, retry attempts by Stripe, or cancellation. Contact hello@ugcagent.app promptly if you believe a charge is incorrect.
Plan limits
Plans may limit visible results, new retained leads, team seats, exports, automations, MCP access, or other features. You may not circumvent limits by creating duplicate accounts, sharing credentials, manipulating requests, or using automated access outside supported interfaces. Promotional pricing or coupons may have separate eligibility and duration terms.
5. Your content and instructions
You retain ownership of prompts, files, campaign information, creator lists, application records, and other materials you submit (“Customer Content”). You grant us a worldwide, non-exclusive license to host, copy, process, transmit, transform, and display Customer Content only as reasonably necessary to provide, secure, support, and improve the Service and comply with law.
You represent that you have the rights and lawful basis needed to submit Customer Content and instruct us to process it. Do not upload trade secrets you are not authorized to share, passwords, API keys, payment-card data, government identifiers, health information, information about children, or other sensitive personal data unless the Service expressly requests it and you have a lawful reason.
You are responsible for exports and for information you move into another system. Deleting data from UGC Agent does not delete copies you or another authorized user previously exported.
6. Acceptable use
You may use the Service only lawfully and in accordance with these Terms. You must not:
- use creator information for spam, harassment, stalking, threats, impersonation, discrimination, fraud, or unlawful surveillance;
- send marketing or outreach that violates privacy, electronic communications, advertising, or platform laws and rules;
- use the Service to make decisions about employment, credit, housing, insurance, education admission, healthcare, or another high-impact field;
- seek or process information about children or highly sensitive personal characteristics;
- misrepresent your identity, affiliation, offer, compensation, campaign, or intended use of creator content;
- reverse engineer, probe, overload, disrupt, or attempt unauthorized access to the Service or its providers;
- extract data at scale outside supported exports, resell access, create a competing database, or use the Service to train a competing model without written permission;
- circumvent plan limits, security controls, suppression lists, provider restrictions, or rate limits;
- upload malware, infringing materials, or content that violates another person’s privacy or rights; or
- use outputs as evidence of a fact you have not independently verified.
We may investigate suspected violations, restrict workflows, remove content, suspend access, or cooperate with lawful authorities where appropriate.
7. Creator outreach, contracting, and compliance
You decide whether, when, and how to contact a creator. You are responsible for establishing a lawful basis for outreach, honoring opt-outs and suppression requests, identifying your business, and complying with applicable privacy, anti-spam, telemarketing, endorsement, contest, employment, and advertising rules.
You are responsible for creator agreements, compensation, taxes, disclosures, deliverables, revisions, intellectual-property ownership, licenses, usage duration, paid-media rights, whitelisting permissions, exclusivity, approvals, and platform terms. UGC Agent’s suggested messages, briefs, scores, and scripts are starting points for human review and do not constitute legal advice.
8. Public creator data and AI-generated outputs
Creator profiles and content change frequently. Public contact information, metrics, brand references, classifications, and availability may be incomplete, outdated, duplicated, or incorrect. A profile appearing in a result does not mean the creator has agreed to be contacted, endorses your brand, is available for work, or has granted any content rights.
AI-generated summaries, research, fit scores, recommendations, classifications, scripts, and other outputs are probabilistic and can contain errors. You must inspect source profiles and links, verify material facts, assess suitability and brand safety, and use qualified professional review for legal, financial, medical, or regulated claims.
We may correct, suppress, or remove public creator information after receiving a verified request. This may affect saved views or future results. Prior exports remain under the control of the user who exported them.
9. Ownership and feedback
UGC Agent and its licensors own the Service, software, interfaces, workflows, documentation, branding, and all related intellectual-property rights. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your account term. They do not transfer ownership of the Service or third-party content.
Creators and platforms retain their rights in names, profiles, trademarks, posts, videos, and other content. Display of public information is not a license to copy or exploit creator content. If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation, provided we do not identify you publicly without permission.
10. Third-party services and availability
The Service relies on third parties including social platforms, data and search providers, Google Gemini, Firebase, Stripe, PostHog, hosting services, and email providers. Their availability, data, rules, and APIs are outside our control. We are not responsible for third-party services, websites, content, or changes, and your use of them may be governed by separate terms.
We aim to provide a reliable Service but do not promise uninterrupted availability, a particular creator count, continuous access to any platform, or preservation of every feature. Maintenance, security incidents, provider outages, rate limits, and legal or platform changes may delay or reduce functionality.
11. Suspension and termination
You may stop using the Service at any time and cancel a paid subscription through the Billing Portal. Deleting or abandoning an account does not automatically cancel a Stripe subscription unless the product confirms cancellation.
We may suspend or terminate access if you materially breach these Terms, fail to pay, create security or legal risk, misuse creator information, threaten the Service or another person, or if continued operation becomes unlawful or impracticable. Where reasonable, we will provide notice and an opportunity to cure. Serious abuse, fraud, security threats, or unlawful conduct may result in immediate action.
Upon termination, your right to use the Service ends. Sections that by their nature should survive, including payment obligations, ownership, disclaimers, liability limits, indemnity, and dispute terms, will survive.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and warranties arising from course of dealing or usage of trade.
We do not warrant that outputs will be accurate or complete, that creators will respond or perform, that public contact information may be used for every purpose, that campaign activity will comply with law, or that the Service will be uninterrupted, secure, or error-free. Nothing in these Terms excludes a warranty or consumer protection that cannot lawfully be excluded.
13. Limitation of liability and indemnity
To the fullest extent permitted by law, UGC Agent and Autopilot will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, goodwill, data, business opportunities, or anticipated savings; creator disputes; campaign costs; platform enforcement; or the cost of replacement services, even if advised that such damage was possible.
To the fullest extent permitted by law, our aggregate liability arising from or related to the Service or these Terms will not exceed the greater of (a) the amount you paid to UGC Agent during the 12 months before the event giving rise to the claim or (b) US$100. These limitations apply across all theories of liability and do not limit liability that cannot lawfully be limited.
You will defend, indemnify, and hold harmless UGC Agent, Autopilot, and their personnel from third-party claims, losses, and reasonable costs arising from your Customer Content, creator outreach or campaigns, violation of these Terms or law, infringement of another person’s rights, or misuse of the Service. This obligation does not apply to the extent a claim results from our own unlawful conduct.
14. Disputes and general terms
Before filing a formal claim, email hello@ugcagent.app with a description of the dispute and requested resolution. The parties will attempt in good faith to resolve it informally for 30 days, unless urgent injunctive relief is reasonably required.
These Terms are governed by the law applicable to the UGC Agent operator identified on your checkout record or invoice, without regard to conflict-of-law rules. Courts located where that operator has its registered office will have exclusive jurisdiction, except where mandatory consumer law gives you the right to bring a claim elsewhere. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If part of these Terms is unenforceable, it will be enforced to the maximum lawful extent and the remaining terms will remain effective. Failure to enforce a term is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, or sale of the Service. These Terms, the Privacy Policy, checkout terms, and any written order form are the entire agreement concerning the Service.
15. Changes and contact
We may update these Terms to reflect product, provider, legal, or commercial changes. Material updates will be identified by a revised date and, where appropriate, notice through the Service or email. Unless a later date is stated, updated Terms take effect when posted for new users and when reasonably notified for existing users. Continued use after the effective date means you accept the updated Terms.
