What each clause in a UGC creator contract means

The eight terms that decide what the content costs and what the brand may do with it.

  • DeliverablesThe exact count, format, length, and file specs the creator owes; vague deliverables are the top cause of UGC contract disputes.
  • UGC usage rightsWhere the brand may publish the content: organic channels only, paid ads from the brand's accounts, or both.
  • Usage termHow long the license lasts (3, 6, or 12 months, or perpetual); paid media must stop when the term ends unless it is renewed.
  • WhitelistingPermission to run ads from the creator's own handle (Spark Ads, partnership ads), which needs platform access and a separate fee.
  • ExclusivityA promise not to post sponsored content for competing brands in one category for a set period; keep it narrow and paid.
  • Payment termsThe total fee, the schedule (on signing, on approval, or net days), and what happens when an invoice is late.

UGC contract questions

  • What should a UGC contract include?
    At minimum: both parties, the exact deliverables, a deadline, revision rounds, the usage rights (organic, paid, whitelisting) with a term, any exclusivity, the fee and payment schedule, who owns raw footage, FTC disclosure duties, and how either side can cancel. This generator fills in all of those from your answers.
  • Is this UGC creator contract legally binding?
    Once both parties sign it, a written agreement like this is generally enforceable, but the wording has not been reviewed for your jurisdiction. Treat it as a starting draft and have a lawyer check it, especially exclusivity, indemnity, and perpetual usage clauses.
  • Who owns the content in a UGC agreement?
    In this template the creator keeps copyright and licenses the brand to use the content for the channels and term you select. If the brand needs full ownership, replace the license clause with an assignment of rights and expect the fee to rise accordingly.
